 يرکز البحث على دور الحوکمة في توفير مناخ جاذب للاستثمار فى جمهورية مصر العربية، من أجل النهوض بالاقتصاد المصرى والاقتداء بتجارب الدول المتقدمة اقتصاديًّا والتى عملت على توفير بيئة داعمة للاقتصاد، فضلا عن بيان دورها في جذب الاستثمارات، وتعزيز دور الحوکمة والإفصاح والشفافية وتوفير المعلومات اللازمة والمناسبة في الوقت المناسب للمستثمرين، وتعتبر الحوکمة المؤسسية من أهم العوامل المؤثرة على جذب الاستثمارات الأجنبية، واستعادة ثقة المستثمرين رغم إنها لا تزال تواجه ببعض الصعوبات من قبل بعض الشرکات المدرجة في السوق المالية، إذ إن هذه الشرکات تنظر إلى مفهوم الحوکمة على أنه تدخل في سياساتها الإدارية، مما يؤثر سلبًا على مستوى الإفصاح والشفافية، وبالتالي على استقطاب الاستثمارات الأجنبية، وتتعرض الباحثة لقانون الاستثمار الجديد الذى يهدف إلى تحسين التنظيم القانوني للبيئة الاستثمارية في جمهورية مصر العربية من خلال توحيد المؤسسات العاملة في مجال الاستثمار لتعمل تحت مظلة واحدة تسمى هيئة الاستثمار، وکذلک تسهيل الإجراءات اللازمة لإقامة المشاريع الاستثمارية من خلال نافذة استثمارية واحدة، وتطوير آلية منح الإعفاءات الجمرکية والضريبية واعتماد معايير لمنح حوافز إضافية للاستثمار.
 اعتمدت الدراسة على المنهج الوصفى النظرى من خلال الدراسات السابقة، والتقارير والدوريات والکتب المتعلقة بموضوع البحث، حيث أثبتت التقارير والدراسات وجود علاقة قوية بين معايير الحوکمة، وبين توفير مناخ جاذب للاستثمار.
 اختتم البحث بمجموعة من التوصيات تهدف إلى زيادة فاعلية نظام الحوکمة بما يضمن توفير مناخ جاذب للاستثمار من جهة ويضمن حقوق جميع الأطراف المعنية من جهة أخرى.

 The research focuses on the role of governance in providing an attractive environment for investment in the Arab Republic of Egypt in order to promote the Egyptian economy and to follow the experiences of the economically developed countries, which have provided a supportive environment for the economy, as well as its role in attracting investments, enhancing the role of governance, disclosure and transparency. In time for investors. Corporate governance is one of the most important factors influencing attracting foreign investment and restoring investor confidence, although it still faces some difficulties by some listed companies. To the concept of governance as an intervention in its administrative policies, which negatively affects the level of disclosure and transparency, and thus to attract foreign investment. The researcher is exposed to the new investment law which aims to improve the legal regulation of the investment environment in the Arab Republic of Egypt by unifying the institutions operating in the field of investment to work Under the umbrella of one called the Investment Authority, as well as facilitating the necessary procedures for the establishment of investment projects through a single investment window, and the development of the mechanism of granting customs and tax exemptions and the adoption of criteria to grant additional incentives for investment.
 The study concludes with a set of recommendations aimed at increasing the effectiveness of the governance system in order to ensure an attractive environment for investment on the one hand and guarantee the rights of all parties concerned on the other hand.
